Common use of The Certificate Clause in Contracts

The Certificate. A single Certificate registered in the name of the Depositor and representing the whole beneficial interest in the Trust shall be initially issued in accordance with the provisions of Section 3.3. The Certificate shall be substantially in the form of Exhibit A to this Agreement with such changes as are necessary or appropriate and not inconsistent with this Agreement. The Certificate shall be executed by the Trust by manual or facsimile signature of any authorized signatory of the Co-Owner Trustee on behalf of the Trust. A Certificate bearing the manual or facsimile signatures of individuals who were, at the time when such signatures were affixed, authorized to sign on behalf of the Owner Trustee shall be validly issued and entitled to the benefits of this Agreement, notwithstanding that such individuals or any of them have ceased to be so authorized prior to the authentication and delivery of such Certificate.
