The Adjustment Factor. The Adjustment Factor is the ratio (expressed as a percentage not exceeding 100%) of (a) aggregate Invested Capital as of the end of the preceding month to (b) the Net Asset Value of the Fund as of the end of the preceding month. The Adjustment Factor has the effect of reducing the base on which the Management Fee is calculated to reflect returns of capital to investors during the Distribution Period.
