Texaco Contributed Assets Sample Clauses

Texaco Contributed Assets. With such exceptions as would not, individually and in the aggregate, have a Company Material Adverse Effect, except for the Texaco Excluded Assets and the Texaco Intellectual Property Rights, the Texaco Contributed Assets constitute all of the assets used for or necessary to the operation of the Texaco Valuated Units in the ordinary course of business and in substantially the same manner as such Texaco Valuated Units were operated as of December 1, 1997.
