Common use of Testing Clause in Contracts

Testing. Landlord shall have the right to conduct annual tests of the Premises to determine whether any contamination of the Premises or the Project has occurred as a result of Tenant’s use. Tenant shall be required to pay the cost of such annual test of the Premises; provided, however, that if Tenant conducts its own tests of the Premises using third party contractors and test procedures acceptable to Landlord which tests are certified to Landlord, Landlord shall accept such tests in lieu of the annual tests to be paid for by Tenant. In addition, at any time, and from time to time, prior to the expiration or earlier termination of the Term, Landlord shall have the right to conduct appropriate tests of the Premises and the Project to determine if contamination has occurred as a result of Tenant’s use of the Premises. In connection with such testing, upon the request of Landlord, Tenant shall deliver to Landlord or its consultant such non-proprietary information concerning the use of Hazardous Materials in or about the Premises by Tenant or any Tenant Party. If contamination has occurred for which Tenant is liable under this Section 30, Tenant shall pay all costs to conduct such tests. If no such contamination is found, Landlord shall pay the costs of such tests (which shall not constitute an Operating Expense). Landlord shall provide Tenant with a copy of all third party, non-confidential reports and tests of the Premises made by or on behalf of Landlord during the Term without representation or warranty and subject to a confidentiality agreement. Tenant shall, at its sole cost and expense, promptly and satisfactorily remediate any environmental conditions identified by such testing in accordance with all Environmental Requirements. Landlord’s receipt of or satisfaction with any environmental assessment in no way waives any rights which Landlord may have against Tenant.

Notwithstanding anything herein to the contrary, within thirty (30) days prior to the Expiration Date or any earlier date on which the Lease terminates, Lessee shall, at Lessee’s sole expense, deliver to Lessor a phase II environmental audit of the Premises showing the environmental condition of the Premises and the completion of Lessee’s Surrender Plan for the Premises.

Tenant shall be required to pay the cost of such annual test of the PremisesPremises if there is violation of this Section 30; provided, however, that if Tenant conducts its own tests of the Premises using third party contractors and test procedures acceptable to Landlord which tests are certified to Landlord, Landlord shall accept such tests in lieu of the annual tests to be paid for by Tenant, if applicable. In additionaddition to the annual tests Landlord may conduct pursuant to this Section 30(d), Landlord may conduct additional tests at any time, and from time to time, prior to the expiration or earlier termination of the Term, Landlord shall have the right to conduct appropriate tests of the Premises and the Project Term to determine if contamination has occurred as a result of Tenant’s use of the Premises. Tenant shallshall be solely responsible for and shall defend, at indemnify and hold the Landlord, its sole cost agents and expensecontractors harmless from and against any and all claims, promptly costs and satisfactorily remediate any environmental conditions identified by such testing in accordance with all Environmental Requirements. Landlord’s receipt liabilities including reasonable attorneys' fees, charges and disbursements, arising out of or satisfaction in connection with any environmental assessment in no way waives removal, clean up, restoration and materials required hereunder to return the Premises and any rights which Landlord may have against Tenantother property of whatever nature to their condition existing prior to the time of any such contamination.

Landlord shall have the right but not the obligation to conduct annual tests of the Premises to determine whether any contamination of the Premises or the Project has occurred as a result of Tenant’s use. Tenant shall be required to pay the cost of such annual test of the Premises; provided, however, that if Tenant conducts its own tests of the Premises using third party contractors and test procedures acceptable to Landlord which tests are certified to Landlord, Landlord shall accept such tests in lieu of the annual tests to be paid for by Tenant. In addition, at any time, and from time to time, prior time (not to the expiration or earlier termination of exceed one additional test per calendar year during the Term), Landlord Landlord, upon at least 48 hours’ prior written notice, shall have the right to conduct additional appropriate tests of the Premises and the Project to determine if contamination has occurred as a result of Tenant’s use of the PremisesPremises (Landlord to use reasonable efforts not to unreasonably interfere with Tenant); provided, however, that the foregoing limitation on the number of Landlord’s additional testing rights shall not apply if (i) such additional testing is in connection with a sale or potential sale of all or a substantial portion of the Project, a financing or refinancing, or a recapitalization, or potential financing, refinancing or recapitalization or (ii) Landlord in good faith is concerned that there has been contamination or non-compliance. In connection with such testing, (x) upon the request of Landlord, Tenant shall deliver to Landlord or its consultant such reasonable, non-proprietary information concerning the use of Hazardous Materials in or about the Premises by Tenant or any Tenant PartyParty as is in Tenant’s possession or control, or able to be obtained by Tenant, and (y) upon the request of Tenant, Landlord shall obtain split samples and deliver one sample to Tenant, and Tenant shall reimburse Landlord for the cost of obtaining such split samples. If contamination has occurred for which Tenant is liable under this Section 30, Tenant shall pay all out of pocket costs to conduct such tests. If no such contamination is found, Landlord shall pay the costs of such tests (which shall not constitute an Operating Expense). In addition to the split samples referenced above, Landlord shall provide Tenant with a copy of all third party, non-confidential reports and tests of the Premises made by or on behalf of Landlord during the Term without representation or warranty and subject to a reasonable confidentiality agreement.
