Termination upon Dissolution. This Agreement shall terminate automatically and immediately upon notice by a Party if proceedings are commenced for the dissolution, winding-up or liquidation of the other Party, other than any such proceeding commenced in connection with a corporate reorganization, recapitalization, reincorporation or similar event of such Party.
