Termination; Survival Following Termination. (i) Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ notice to the other party; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section 3(b)(v) with respect to such Shares and (B) Section 2, Section 6, Section 7 and Section 8 shall survive termination of this Agreement. (i) Either party The Company or the Agent may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) three Trading Days’ notice to the other party; provided that, that (Ai) if the Company terminates this Agreement after the Agent confirms to the Company any sale of SharesDepositary Units, the Company shall remain obligated to comply with Section 3(b)(v) with respect to such Shares Depositary Units and (Bii) Section 2, Section 6, Section 7 and Section 8 6 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of SharesDepositary Units, such sale shall nevertheless settle in accordance with the terms of this Agreement.

(i) Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten at least one (101) Trading Days’ Day’s prior written notice to the other party; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of SharesShares in accordance with the terms hereof, the Company shall remain obligated to comply with Section 3(b)(v) with respect to such Shares Shares, and (B) Section 2, Section 6, Section 7 and Section 8 shall survive any termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

(i) Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) one Trading Days’ Day’s notice to the other party; provided that, (Aa) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section 3(b)(v2.02(e) with respect to such Shares and (Bb) Section 2Articles III, Section 6VI, Section 7 VII and Section 8 VIII shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Issuance Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

(i) Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ prior written notice to the other party; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section 3(b)(v) with respect to such Shares and (B) Section 2, Section 6, Section 7 and Section 8 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement. Upon termination of this Agreement, the Company shall not have any liability to the Agent for any discount, commission or other compensation with respect to any Shares not otherwise sold by the Agent under this Agreement.

Termination; Survival Following Termination. (i) Either party The Company and the Agent, may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ notice to the each other partyparty to this Agreement; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section 3(b)(v) with respect to such Shares and (B) Section 2, Section 3(d), Section 6, Section 7 and Section 8 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

Termination; Survival Following Termination. (i) Either party may terminate this Agreement prior to The Company shall have the end of the Agency Periodright, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ days' written notice to terminate this Agreement in its sole discretion with respect to one Agent or the other partyentire Agreement; provided that, (A) if the Company terminates this Agreement after the an Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section ‎Section 3(b)(v) with respect to such Shares and (B) Section ‎Section 2, Section ‎Section 6, Section ‎Section 7 and Section ‎Section 8 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

Termination; Survival Following Termination. (i) Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ notice to the other party; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section 3(b)(v3(b)(iv) with respect to such Shares and (B) Section 2, Section 3(d), Section 6, Section 7 and Section 8 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ notice to the other party; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section ‎Section 3(b)(v) with respect to such Shares and (B) Section ‎Section 2, ‎Section 3(d), Section 6, Section 7 and Section 8 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

Termination; Survival Following Termination.
