Common use of Termination Procedures Clause in Contracts

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.1, the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 9.18.1, the Purchaser Buyer shall deliver to the Shareholders Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the Seller basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer a written notice stating that the Purchaser Stockholders Representative is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If Stockholders Representative (acting for the Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller Sellers) is terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.18.5, the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes Shareholders wish to terminate this Agreement pursuant to Section 9.18.5, the Seller Shareholders shall deliver to the Purchaser a written notice stating that the Seller is Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.17.5, the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.1section 10.1(a), the Purchaser shall deliver to the Shareholders and the Seller Vendor a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Vendor wishes to terminate this Agreement pursuant to Section 9.1sections 10.1 (a), the Seller Vendor shall deliver to the Purchaser a written notice stating that the Seller Vendor is terminating this Agreement and setting forth a brief description of the basis on which the Seller Vendor is terminating this Agreement.

Termination Procedures. If Sellers wish to terminate this Agreement pursuant to Section 11.1, Sellers shall deliver to Buyer a written notice stating that Sellers are terminating this Agreement and setting forth a brief description of the Purchaser basis on which Sellers are terminating this Agreement. If Buyer wishes to terminate this Agreement pursuant to Section 9.111.1, the Purchaser Buyer shall deliver to the Shareholders and the Seller Sellers a written notice stating that the Purchaser Buyer is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller Buyer is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.1Sections 7.1(a) or 7.1(c), the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.1Sections 7.1(b) or 7.1(c), the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.113.1, the Purchaser shall deliver to the Shareholders and the Seller Sellers a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes Sellers wish to terminate this Agreement pursuant to Section 9.113.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is Sellers are terminating this Agreement and setting forth a brief description of the basis on which the Seller is Sellers are terminating this Agreement.

If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 9.16.1(a) or Section 6.1(c), the Purchaser Buyer shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser Buyer is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser Buyer is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to to Section 9.16.1 (b) or Section 6.1(d), the Seller shall deliver to the Purchaser Buyer a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 9.1‎11.1 above, the Purchaser Buyer shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser Buyer is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser Buyer is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.1‎‎11.1 above, the Seller shall deliver to the Purchaser Buyer a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.1, the 8.1(a)(i) Purchaser shall deliver to the Shareholders and the Seller Company a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Company wishes to terminate this Agreement pursuant to Section 9.18.1(a)(ii), the Seller Company shall deliver to the Purchaser a written notice stating that the Seller Company is terminating this Agreement and setting forth a brief description of the basis on which the Seller Company is terminating this Agreement.

If the Seller wishes to terminate this Agreement pursuant to Section 9.1Sections 12.1 (b), the (c), or (e), then Seller shall deliver to the Purchaser Buyer a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on upon which the Seller is terminating this Agreement.

If the Seller wishes to terminate this Agreement pursuant to Section 9.111.1.2, the or 11.1.4, Seller shall deliver to the Purchaser Buyer a written notice stating that the Seller is are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.1, the Purchaser shall deliver to the Selling Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.18.1(b) or Section 8.1(d), the Seller shall deliver to the Purchaser and the Company a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 9.18.1, the Purchaser Buyer shall deliver to the Shareholders Sellers’ Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the Seller basis on which Buyer is terminating this Agreement. If the Sellers’ Representative wishes to terminate this Agreement pursuant to Section 8.1, the Sellers’ Representative shall deliver to Buyer a written notice stating that the Purchaser Sellers’ Representative is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller Sellers’ Representative is terminating this Agreement.

If the Seller wishes Vendors wish to terminate this Agreement pursuant to Section 9.110.1(a), the Seller Vendors shall deliver to the Purchaser Purchasers a written notice stating that the Seller is Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Seller is Vendors are terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.1, the Purchaser shall deliver to the Shareholders and the Seller Selling Unit Holders a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes Selling Unit Holders unanimously wish to terminate this Agreement pursuant to Section 9.1, the Seller both Selling Unit Holders shall deliver to the Purchaser a written notice stating that the Seller is they are terminating this Agreement and setting forth a brief description of the basis on which the Seller is they are terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.110.1, the then Purchaser shall deliver to the Shareholders and the Seller Company a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Company (with the consent of a majority in interest of the Institutional Sellers) wishes to terminate this Agreement pursuant to Section 9.110.1, the Seller Company shall deliver to the Purchaser a written notice stating that the Seller Company is terminating this Agreement and setting forth a brief description of the basis on which the Seller Company is terminating this Agreement.

Termination Procedures. If the Purchaser or Purchaser Sub wishes to terminate this Agreement pursuant to Section 9.17.1(a), Section 7.1(c) or Section 7.1(e), the Purchaser or Purchaser Sub, as applicable, shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser or Purchaser Sub is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser or Purchaser Sub is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.17.1(b) or Section 7.1(d), the Seller shall deliver to the Purchaser and Purchaser Sub a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. 7.2.1 If the Purchaser wishes to terminate this Agreement pursuant to Section 9.17.1.1b, Section 7.1.1c or Section 7.1.1d, the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser it is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser it is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.17.1.1b., Section 7.1.1c. or Section 7.1.1e, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller it is terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.18.1(a), 8.1(b) or Section 8.1(c), the Purchaser shall deliver to the Shareholders and the Seller Selling Shareholder a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Selling Shareholder wishes to terminate this Agreement pursuant to Section 9.18.1(b) or 8.1(c), the Seller Selling Shareholder shall deliver to the Purchaser a written notice stating that the Seller Selling Shareholder is terminating this Agreement and setting forth a brief description of the basis on which the Seller Selling Shareholder is terminating this Agreement.

Termination Procedures. If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 9.19.1(b), the Purchaser Section 9.1(c) or Section 9.1(d), Buyer shall deliver to the Shareholders Company a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the Seller basis on which Buyer is terminating this Agreement. If the Company wishes to terminate this Agreement pursuant to Section 9.1(b) or Section 9.1(e), the Company shall deliver to Buyer a written notice stating that the Purchaser Company is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller Company is terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 9.17.1(a), Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Shareholders and the Seller Vendor a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Vendor wishes to terminate this Agreement pursuant to Section 9.17.1(b), Section 7.1(d) or Section 7.1(f), the Seller Vendor shall deliver to the Purchaser a written notice stating that the Seller Vendor is terminating this Agreement and setting forth a brief description of the basis on which the Seller Vendor is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.17.1(a), Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Shareholders and the Seller any Vendor a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Vendors wishes to terminate this Agreement pursuant to Section 9.17.1(b), Section 7.1(d) or Section 7.1(f), the Seller Vendors shall deliver to the Purchaser a written notice signed by each of the Vendors and stating that the Seller is Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Seller is Vendors are terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.18.1, the Purchaser shall deliver to the Shareholders and the Seller Member a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller Member wishes to terminate this Agreement pursuant to Section 9.18.1, the Seller Member shall deliver to the Purchaser a written notice stating that the Seller Member is terminating this Agreement and setting forth a brief description of the basis on which the Seller Member is terminating this Agreement.

If the Purchaser Buyer wishes to exercise its right to terminate this Agreement pursuant to in accordance with the provisions of Section 9.18.01, the Purchaser it shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser Buyer is terminating this Agreement and setting forth a brief detailed description of the basis on which the Purchaser Buyer is terminating this Agreement. If the Seller wishes to exercise its right to terminate this Agreement pursuant to in accordance with the provisions of Section 9.18.01, the Seller shall deliver to the Purchaser Buyer a written notice stating that the Seller is terminating this Agreement and setting forth a brief detailed description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to any provision of Section 9.18.1, the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to any provision of Section 9.18.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Seller Company wishes to terminate this Agreement pursuant to Section 9.17.1(a)(ii), the Seller Company shall deliver to the Purchaser a written notice stating that the Seller Company is terminating this Agreement and setting forth a brief description of the basis on which the Seller Company is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 9.16.1(b) or Section 6.1(c), the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Seller wishes to terminate this Agreement pursuant to Section 9.16.1(b) or Section 6.1(d), the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Seller wishes to terminate this Agreement pursuant to Section 9.18.1(b), the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.
