Common use of Termination Procedures Clause in Contracts

Termination Procedures. If Buyer wishes to terminate this Agreement pursuant to Section 8.1, Buyer shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer a written notice stating that the Stockholders Representative is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) is terminating this Agreement.

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.5, Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Seller a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 7.5, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.19.1(a), Buyer Section 9.1(b), Section 9.1(e) or Section 9.1(g), Purchaser shall deliver to Seller and the Stockholder Representative Company a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.18.5, Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Shareholders a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the Sellers) Shareholders wish to terminate this Agreement pursuant to Section 8.5, the Shareholders shall deliver to the Purchaser a written notice stating that the Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.1section 10.1(a), Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative Purchaser is terminating this Agreement. If the Vendor wishes to terminate this Agreement pursuant to sections 10.1 (acting for a), the Sellers) Vendor shall deliver to the Purchaser a written notice stating that the Vendor is terminating this Agreement and setting forth a brief description of the basis on which the Vendor is terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.113.1, Buyer Purchaser shall deliver to the Stockholder Representative Sellers a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative wishes Sellers wish to terminate this Agreement pursuant to Section 8.113.1, the Stockholder Representative Seller shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative is Sellers are terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) is Sellers are terminating this Agreement.

If the SellersSeller wishes to terminate this Agreement pursuant to Section 7.1(c), Section 7.1(d) or Section 7.1(f), the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Selling Shareholders wish to terminate this Agreement pursuant to Section 9.1, they shall deliver to the Purchaser a written notice stating that it is terminating this Agreement and setting forth a brief description of the basis on which the Selling Shareholders are terminating this Agreement.

Termination Procedures. If Sellers wish to terminate this Agreement pursuant to Section 11.1, Sellers shall deliver to Buyer a written notice stating that Sellers are terminating this Agreement and setting forth a brief description of the basis on which Sellers are terminating this Agreement. If Buyer wishes to terminate this Agreement pursuant to Section 8.111.1, Buyer shall deliver to the Stockholder Representative Sellers a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer a written notice stating that the Stockholders Representative is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) is terminating this Agreement.

If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.18.1(b), Section 8.1(d) or Section 8.1(f), the Stockholder Representative Seller shall deliver to Buyer the Purchasers a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to Parent and the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.110.1, Buyer then Purchaser shall deliver to the Stockholder Representative Company a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Company (with the consent of a majority in interest of the Institutional Sellers) wishes to terminate this Agreement pursuant to Section 8.110.1, the Stockholder Representative Company shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Company is terminating this Agreement.

Termination Procedures. If Buyer wishes to terminate this Agreement pursuant to Section 8.1‎11.1 above, Buyer shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.1‎‎11.1 above, the Stockholder Representative Seller shall deliver to Buyer a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.1, Buyer 8.1(a)(i) Purchaser shall deliver to the Stockholder Representative Company a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Company wishes to terminate this Agreement pursuant to Section 8.18.1(a)(ii), the Stockholder Representative Company shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Company is terminating this Agreement.

Termination Procedures. If Buyer wishes to terminate this Agreement pursuant to Section 8.18.01(a), Buyer shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.18.01(b), the Stockholder Representative Seller shall deliver to Buyer a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

Termination Procedures. If Buyer wishes to terminate this Agreement pursuant to Section 8.111.1.2, or 11.1.3, Buyer shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.111.1.2, the Stockholder Representative or 11.1.4, Seller shall deliver to Buyer a written notice stating that the Stockholders Representative is Seller are terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

Termination Procedures. If Buyer wishes to terminate this Agreement pursuant to Section 8.19.1(b), Section 9.1(c) or Section 9.1(d), Buyer shall deliver to the Stockholder Representative Company a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Company wishes to terminate this Agreement pursuant to Section 8.19.1(b) or Section 9.1(e), the Stockholder Representative Company shall deliver to Buyer a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Company is terminating this Agreement.

If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.18.1(a) or Section 8.1(c), Buyer the Purchaser shall deliver to the Selling Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the SellersSelling Stockholder wishes to terminate this Agreement pursuant to Section 8.1(b) or Section 8.1(d), the Selling Stockholder shall deliver to the Purchaser a written notice stating that the Selling Stockholder is terminating this Agreement and setting forth a brief description of the basis on which the Selling Stockholder is terminating this Agreement.

If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.16.1, Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Seller a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Purchaser is terminating this Agreement.

If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 8.1(b), the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If Buyer wishes the Purchasers wish to terminate this Agreement pursuant to Section 8.110.1(a), Buyer the Purchasers shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Vendors a written notice stating that the Stockholders Representative is Purchasers are terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchasers are terminating this Agreement. If the Sellers) is Vendors wish to terminate this Agreement pursuant to Section 10.1(a), the Vendors shall deliver to the Purchasers a written notice stating that the Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Vendors are terminating this Agreement.

If the Stockholder Representative wishes Selling Shareholders wish to terminate this Agreement pursuant to Section 8.19.1, the Stockholder Representative Selling Shareholders shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative is Selling Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) is Selling Shareholders are terminating this Agreement.

If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 8.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.1‎8.1, Buyer Purchaser shall deliver to the Stockholder Representative Seller a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.1‎8.1, the Stockholder Representative Seller shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a)(i), Buyer Purchaser shall deliver to the Stockholder Representative Company a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Company wishes to terminate this Agreement pursuant to Section 8.17.1(a)(ii), the Stockholder Representative Company shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Company is terminating this Agreement.

If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.1, Buyer Purchaser shall deliver to the Stockholder Representative Company a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis or bases on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Company wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative Company shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis or bases on which the Stockholders Representative (acting for the Sellers) Company is terminating this Agreement.. 8.3

Termination Procedures. If Buyer wishes the Purchaser and the Company wish to terminate this Agreement pursuant to Section 8.18.1(a) or Section 8.1(c), Buyer the Purchaser and the Company shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is the Purchaser and the Company are terminating this Agreement and setting forth a brief description of the basis on which Buyer is the Purchaser and the Company are terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.18.1(b) or Section 8.1(d), the Stockholder Representative Seller shall deliver to Buyer the Purchaser and the Company a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a), Buyer Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer any Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Purchaser is terminating this Agreement. If the Vendors wishes to terminate this Agreement pursuant to Section 7.1(b), Section 7.1(d) or Section 7.1(f), the Vendors shall deliver to the Purchaser a written notice signed by each of the Vendors and stating that the Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Vendors are terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.1, Buyer Purchaser shall deliver to the Stockholder Representative Seller Member a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Seller Member wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative Seller Member shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Seller Member is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller Member is terminating this Agreement.

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.16.1, Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Seller a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 6.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to any provision of Section 8.1, Buyer Purchaser shall deliver to the Stockholder Representative Seller a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to any provision of Section 8.1, the Stockholder Representative Seller shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a) or Section 7.1(c), Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer any Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the Sellers) Vendor wishes to terminate this Agreement pursuant to Section 7.1(b)or Section 7.1(d), the Vendor shall deliver to the Purchaser a written notice stating that the Vendor is terminating this Agreement and setting forth a brief description of the basis on which the Vendor is terminating this Agreement.

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a), Buyer Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer any Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Purchaser is terminating this Agreement. If the Vendors wish to terminate this Agreement pursuant to Section 7.1(b), Section 7.1(d) or Section 7.1(f), the Vendors shall deliver to the Purchaser a written notice stating that the Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Vendors are terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.19.1, Buyer Purchaser shall deliver to the Stockholder Representative Selling Shareholders a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative wishes Selling Shareholders wish to terminate this Agreement pursuant to Section 8.19.1, the Stockholder Representative Selling Shareholders shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative is Selling Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) is Selling Shareholders are terminating this Agreement. 9.3.

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a), Buyer Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the SellersVendor wishes to terminate this Agreement pursuant to Section 7.1(b), Section 7.1(d) or Section 7.1(f), the Vendor shall deliver to the Purchaser a written notice stating that the Vendor is terminating this Agreement and setting forth a brief description of the basis on which the Vendor is terminating this Agreement.

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.19.1, Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Seller a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Purchaser is terminating this Agreement. If the Sellers) Seller wishes to terminate this Agreement pursuant to Section 9.1, the Seller shall deliver to the Purchaser a written notice stating that the Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If Buyer wishes to terminate this Agreement pursuant to Section 8.1, Buyer shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Company wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative Company shall deliver to Buyer the Contributing Stockholder a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for Company is terminating this Agreement. If the Sellers) Contributing Stockholder wishes to terminate this Agreement pursuant to Section 8.1, the Contributing Stockholder shall deliver to the Company a written notice stating that the Contributing Stockholder is terminating this Agreement and setting forth a brief description of the basis on which the Contributing Stockholder is terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(b), Buyer Section 7.1(d) or Section 7.1(e), Purchaser shall deliver to the Stockholder Representative Seller a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.17.1(c), the Stockholder Representative Section 7.1(d) or Section 7.1(f), Seller shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer wishes to exercise its right to terminate this Agreement pursuant to in accordance with the provisions of Section 8.18.01, Buyer it shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is terminating this Agreement and setting forth a brief detailed description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Seller wishes to exercise its right to terminate this Agreement pursuant to in accordance with the provisions of Section 8.18.01, the Stockholder Representative Seller shall deliver to Buyer a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief detailed description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a), Buyer Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer any Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Purchaser is terminating this Agreement. If the Vendors wishes to terminate this Agreement pursuant to Section 7.1(b), Section 7.1(d) or Section 7.1(f), the Vendors shall deliver to the Purchaser a written notice signed by each of the -47- 52 Vendors and stating that the Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Vendors are terminating this Agreement.

If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.19.1, Buyer Purchaser shall deliver to the Stockholder Representative Seller a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.19.1, the Stockholder Representative Seller shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If the Stockholder Sellers’ Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Sellers’ Representative shall deliver to Buyer a written notice stating that the Stockholders Sellers’ Representative is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Sellers’ Representative (acting for the Sellers) is terminating this Agreement.

If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.1, Buyer Purchaser shall deliver to the Stockholder Sellers’ Representative a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis or bases on which Buyer Purchaser is terminating this Agreement. If the Stockholder Sellers’ Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Sellers’ Representative shall deliver to Buyer Purchaser a written notice stating that the Stockholders Sellers’ Representative is terminating this Agreement and setting forth a brief description of the basis or bases on which the Stockholders Sellers’ Representative (acting for the Sellers) is terminating this Agreement.. 8.3

Termination Procedures. If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.19.1, Buyer the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer Selling Unit Holders a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Purchaser is terminating this Agreement. If the Selling Unit Holders unanimously wish to terminate this Agreement pursuant to Section 9.1, the both Selling Unit Holders shall deliver to the Purchaser a written notice stating that they are terminating this Agreement and setting forth a brief description of the basis on which they are terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.19.1, Buyer Purchaser shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to Section 8.19.1, the Stockholder Representative Seller shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer wishes to terminate this Agreement pursuant to Section 8.16.1(a) or Section 6.1(c), Buyer shall deliver to the Stockholder Representative Seller a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative Seller wishes to terminate this Agreement pursuant to to Section 8.16.1 (b) or Section 6.1(d), the Stockholder Representative Seller shall deliver to Buyer a written notice stating that the Stockholders Representative Seller is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Seller is terminating this Agreement.

If Buyer the Purchaser wishes to terminate this Agreement pursuant to Section 8.17.1(a), Buyer Section 7.1(c), or Section 7.1(e), the Purchaser shall deliver to the Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer any Vendor a written notice stating that the Stockholders Representative Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Purchaser is terminating this Agreement. If the Vendors wish to terminate this Agreement pursuant to Section 7.1(b), Section 7.1(d) or Section 7.1(f), the Vendors shall deliver to the Purchaser a written notice stating that the Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Vendors are terminating this Agreement.

Termination Procedures. If Buyer Purchaser wishes to terminate this Agreement pursuant to Section 8.110.1, Buyer then Purchaser shall deliver to the Stockholder Representative Company a written notice stating that Buyer Purchaser is terminating this Agreement and setting forth a brief description of the basis on which Buyer Purchaser is terminating this Agreement. If the Stockholder Representative Company wishes to terminate this Agreement pursuant to Section 8.110.1, the Stockholder Representative Company shall deliver to Buyer Purchaser a written notice stating that the Stockholders Representative Company is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) Company is terminating this Agreement.

Termination Procedures. If Buyer Purchaser or Sellers’ Representative wishes to terminate this Agreement pursuant to Section 8.1Article 10.1, Buyer it/he shall deliver to the Stockholder Representative other a written notice stating that Buyer it/he is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer a written notice stating that the Stockholders Representative is terminating this Agreement and setting forth a brief description of the basis on which the Stockholders Representative (acting for the Sellers) is terminating this Agreementbeing terminated.
