Common use of Termination of the LLC Clause in Contracts

Termination of the LLC. The separate legal existence of the Company shall terminate when all assets of the Company, after payment of or due provision for all debts, liabilities, and obligations of the Company, shall have been distributed to the Members in the manner provided for in this Article XI, and Articles of Dissolution shall have been filed in the manner required by Section 705 of the LLC Law.

Termination of the LLC. The Subject to Section 2.7, the separate legal existence of the Company shall terminate upon a Reorganization or when all assets of the Company, after payment of or due provision for all debts, liabilities, liabilities and obligations of the Company, shall have been distributed to the Members in the manner provided for in this Article XI, IX and Articles a certificate of Dissolution cancellation of the Certificate shall have been filed in the manner required by Section 705 of the LLC LawAct.
