Termination of Prior Agreement; Continuing Effectiveness of Transfer Restrictions. The Prior Agreement shall be of no further force or effect upon the Effective Date of this Agreement, except for the transfer restrictions set forth in Annex II of the Prior Agreement, which shall remain in full force and effect pursuant to the terms thereof and are incorporated herein by reference. By entering into this Agreement, Employee hereby agrees to continue to be bound by the transfer restrictions set forth in Annex II of the Prior Agreement.
