Termination of Participating Company Status. Unless otherwise provided in this Agreement, to the extent applicable, effective as of the Close of the Distribution Date, SpinCo and each member of the SpinCo Group shall cease to be a Participating Company in any of the Acuity Plans remaining with Acuity, and Acuity and each member of the Acuity Group shall cease to be a Participating Company in any Plan assumed by SpinCo or a member of the SpinCo Group.
