Common use of Termination of Master Lease Clause in Contracts

Termination of Master Lease. If the Master Lease terminates for any reason prior to the expiration or other termination of this Sublease, this Sublease shall terminate concurrently therewith without any liability of Sublandlord to Subtenant and, except for any Subtenant obligations hereunder arising on or prior to the termination of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive such termination.

Termination of Master Lease. If for any reason the term of the Master Lease terminates for any reason shall terminate prior to the expiration or other termination of this Subleasescheduled Expiration Date, this Sublease shall terminate concurrently therewith without thereupon be terminated and Sublandlord shall not be liable to Subtenant by reason thereof unless (i) Subtenant shall not then be in default hereunder beyond any liability applicable notice and cure period and (ii) such termination shall have been effected because of the breach or default of Sublandlord to Subtenant and, except for any Subtenant obligations hereunder arising on under the Master Lease or prior to by reason of the voluntary termination or surrender of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive such terminationthe Master Lease by Sublandlord.

Termination of Master Lease. If In the event of any termination of the Master Lease terminates for any reason prior to the expiration or other termination of this SubleaseLease, this Sublease shall terminate concurrently therewith without and the parties shall be relieved from all further liabilities and obligations hereunder; provided, however, if this Sublease terminates as a result of any liability default of Subtenant or Sublandlord under this Sublease or the Master Lease, or both, Subtenant shall be liable to Subtenant and, except for any Subtenant obligations hereunder arising on Sublandlord or prior Sublandlord shall be liable to the termination of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive as the case may be for all damage suffered by Sublandlord as a result of such termination.

Termination of Master Lease. If the Master Lease terminates for any reason prior to the expiration or other earlier termination of this Sublease, this Sublease shall concurrently terminate concurrently therewith without any liability unless Master Landlord requires that Subtenant agree to deem this Sublease to be a direct lease of Sublandlord the Sublease Premises between Master Landlord and Subtenant in which case Subtenant shall, promptly upon Master Landlord’s request, execute and deliver all instruments reasonably necessary and appropriate to Subtenant and, except for any Subtenant obligations hereunder arising on or prior to confirm the termination of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive such terminationforegoing.

If the Master Lease terminates for any reason prior to the expiration or other termination of this Sublease, this Sublease shall terminate concurrently therewith without any liability of Sublandlord to Subtenant and, except for any Subtenant obligations hereunder arising on or prior to the termination of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 4.3 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive such termination.

Termination of Master Lease. If the Master Lease terminates for any reason prior to the expiration or other earlier termination of this Sublease, this Sublease shall concurrently terminate concurrently therewith without any liability unless Master Landlord and Subtenant agree in writing to deem this Sublease to be a direct lease of the Sublease Premises between Master Landlord and Subtenant; provided that as a condition to such direct lease, Sublandlord to Subtenant and, except for any Subtenant shall be released from all liabilities and obligations hereunder arising on or prior to under this Sublease from and after the termination of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive such terminationdate that the Master Lease terminated.

If the Master Lease or Sublease terminates for any reason prior to the expiration or other termination of this SubleaseSub-sublease, this Sublease Sub-sublease shall terminate concurrently therewith without any liability of Sublandlord Sub-sublandlord to Subtenant Sub-subtenant and, except for any Subtenant Sub-subtenant obligations hereunder arising on or prior to the termination of this SubleaseSub-sublease, following SubtenantSub-subtenant’s surrender in compliance with Section 4.2 hereof, SubtenantSub-subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of SubtenantSub-subtenant, which shall survive such termination.
