Common use of Termination of Investment Obligation Clause in Contracts

Termination of Investment Obligation. The obligation of the Investor to purchase shares of Common Stock shall terminate permanently (including with respect to a Closing Date that has not yet occurred) in the event that (i) there shall occur any stop order or suspension of the effectiveness of the Registration Statement for a consecutive ten day calendar period or for an aggregate of thirty (30) Trading Days during the Commitment Period, for any reason, or (ii) the Company shall at any time fail to comply with the requirements of Section 6.2, 6.3, 6.4, 6.5 or 6.6.

Termination of Investment Obligation. (a) The obligation of the Investor to purchase shares of Common Stock shall shall, at the Investor's option (as evidenced by a notice to such effect to the Company), terminate permanently (including with respect to a Closing Date that has not yet occurred) in the event that (i) there shall occur any stop order or suspension of the effectiveness of the Registration Statement for a consecutive ten day calendar period or relating to the Registrable Securities for an aggregate of thirty (30) Trading Days during the Commitment Period, Period for any reason, or ; (ii) the Company shall at any time fail to comply with the requirements of Section 6.2, 6.3, 6.4, 6.5 or 6.6breach its obligations under this Agreement.

The obligation of the Investor to purchase shares of Common Stock shall terminate permanently (including with respect to a Put Closing Date that has not yet occurred) in the event that (i) there shall occur any stop order or suspension of the effectiveness of the Registration Statement for a consecutive ten day calendar period or for an aggregate of thirty (30) Trading Days during the Commitment Period, for any reason, or (ii) the Company shall at any time fail to comply with the requirements of Section 6.25.2, 6.35.3, 6.45.4, 6.5 5.5 or 6.65.6.

Termination of Investment Obligation. The This Agreement and the obligation of the Investor to purchase shares of Common Stock shall terminate permanently at the Investor's option (including with respect to a Closing Date that has not yet occurred) in the event that (i) there shall occur any stop order orders or suspension suspensions of the effectiveness of the Registration Statement for a consecutive ten day calendar period or for an aggregate of thirty over fifteen (3015) Trading Days during any calendar year during the Commitment Period, for any reason, or (ii) the Company shall at any time fail to comply with the requirements of Section 6.2, 6.3, 6.4, 6.5 6.4 or 6.6, (iii) the Commitment Period shall expire, or (iv) the Company issues the maximum number of shares of common stock permitted by this Agreement pursuant to Section 2.1(d).

The obligation of the Investor to purchase shares of Common Stock shall terminate permanently (including with respect to a Put Closing Date that has not yet occurred) in the event that (i) there shall occur any stop order or suspension of the effectiveness of the Registration Statement for a twenty (20) consecutive ten day calendar period Trading Days or for an aggregate of thirty sixty (3060) Trading Days during the Commitment Period, for any reason, or (ii) the Company shall at any time fail to comply with the requirements of Section 6.25.2, 6.35.3, 6.4, 6.5 5.4 or 6.65.5.

The obligation of the Investor pursuant to this Agreement to purchase shares of Common Stock shall shall, at Investor's option, terminate permanently (including with respect to a Closing Date that has not yet occurred) in the event that (i) there shall occur any stop order or suspension of the effectiveness of the Registration Statement for a consecutive ten day calendar period or for an aggregate of thirty (30) Trading Days during the Commitment Period, for any reason, or (ii) the Company shall at any time fail to comply with the requirements of Section 6.2, 6.3, 6.4, 6.3 or 6.5 or 6.6and such failure shall continue for more than thirty (30) days.
