Termination of Existing Options. Immediately prior to the Effective Time, the stock options set forth on Exhibit B granted to the Optionee pursuant to any of the Company's stock option plans and any stock option agreement entered into in connection therewith shall be terminated in their entirety and be of no further force and effect. In addition, the Optionee irrevocably waives any and all rights and benefits the Optionee has thereunder.

Termination of Existing Options. Pursuant to that certain Option Agreement dated October 30, 2007 among Hidden Valley Golf and Ski, Inc., Snow Creek, Inc., Paoli Peaks, Inc., Brandywine Ski Resort, Inc., Boston Xxxxx Ski Resort, Inc., and JFBB Ski Areas, Inc., as seller, and Purchaser, as purchaser, and that certain Option Agreement dated November 19, 2012 between Sycamore Lake, Inc., as seller, and Purchaser, as purchaser (collectively, the “Existing Option Agreements”), Purchaser was granted the right and option to purchase certain properties (including the Property) on and subject to the terms of the Existing Option Agreements. Purchaser and Seller hereby agree to terminate the Existing Option Agreements, which shall be superseded and replaced with this Agreement. The parties shall have no further rights or obligations under the Existing Option Agreements, effective as of the Effective Date.
Termination of Existing Options. No amendment, suspension or termination of the Plan shall, without the Optionee’s written consent, alter or impair the Option granted under the terms of this Agreement.

Upon written notice to Executive, together with calculations of HMS's independent auditors, Executive shall remit to HMS the amount of the reduction plus such interest as may be necessary to avoid the imposition of such excise tax. Notwithstanding the foregoing or any other provision of this Agreement to the contrary, if any portion of the amount herein payable to the Executive is determined to be non-deductible pursuant to the regulations promulgated under Section 280G of the Code, then HMS shall be required only to pay to Executive the amount determined to be deductible under Section 280G.

  • Termination of Service for Cause If your Service is terminated by the Company for Cause or if you commit an act(s) of Cause while this Option is outstanding, as determined by the Committee in its sole discretion, then you shall immediately forfeit all rights to your Option without consideration, including any vested portion of the Option, and the entire Option shall immediately expire, and any rights, payments and benefits with respect to the Option shall be subject to reduction or recoupment in accordance with the Clawback Policy and the Plan. For avoidance of doubt, your Service shall also be deemed to have been terminated for Cause by the Company if, after your Service has otherwise terminated, facts and circumstances are discovered that would have justified a termination for Cause, including, without limitation, your violation of Company policies or breach of confidentiality or other restrictive covenants or conditions that may apply to you prior to or after your Termination Date.
