Common use of Termination of Employment for Good Reason or Other Than for Cause Clause in Contracts

Termination of Employment for Good Reason or Other Than for Cause. If, during the Employment Period, the Company shall terminate the Executive's employment other than for Cause, or if the Executive shall terminate employment under this Agreement for Good Reason or if Executive's employment terminates by reason of his death or Permanent Disability, the Company shall provide Executive (directly or as provided in Section 12(a)), in lieu of any bonus under the Company's cash incentive plan for the year in which the Termination Date occurs, but in addition to all vested rights arising from his employment, with the following benefits:
