Common use of Termination of Agreement by Company for Cause Clause in Contracts

Termination of Agreement by Company for Cause. Subject to compliance --------------------------------------------- with any applicable federal and state laws and regulations, the Company may terminate this Agreement and the Executive's employment hereunder at any time in the event such termination constitutes Termination By Company For Cause, upon giving written notice to the Executive specifying in reasonable detail (i) the event which constitutes the cause; (ii) the pertinent facts and circumstances underlying the cause; and (iii) the effective date of the termination (not to exceed ninety {90} days from the date of such notice, but which date may, at the Company's election, be effective upon receipt of said written notice by the Executive). Such notice shall also afford the Executive an opportunity to be heard in person by the Board (with the assistance of the Executive's legal counsel, if the Executive so desires). Such hearing shall be held reasonably promptly after such notice but, in any event, before the effective date of the prospective termination.
