Common use of Termination Following Disability Clause in Contracts

Termination Following Disability. In the event, Executive becomes mentally or physically impaired or disabled and is unable to perform his material duties and responsibilities hereunder for a period of at least ninety (90) days in the aggregate during any one hundred twenty (120) consecutive day period, the Company may terminate this Agreement by delivering a written termination notice to Executive. Notwithstanding the foregoing, Executive shall continue to receive his full salary and benefits under this Agreement for a period of twelve (12) months after the effective date of such termination.

Termination Following Disability. In the event, Executive becomes mentally or physically impaired or disabled and is unable to perform his her material duties and responsibilities hereunder for a period of at least ninety (90) days in the aggregate during any one hundred twenty (120) consecutive day period, the Company may terminate this Agreement by delivering a written termination notice to Executive. Notwithstanding the foregoing, Executive shall continue to receive his her full salary and benefits under this Agreement for a period of twelve (12) months after the effective date of such termination.

In the eventevent that in the Company’s sole discretion, the Executive becomes mentally or physically impaired or disabled and is unable to perform his material duties and responsibilities hereunder for a period of at least ninety one hundred twenty (90120) days in the aggregate during any one hundred twenty fifty (120150) consecutive day periodperiod (a “Disability Event”), the Company may terminate the Executive’s employment under this Agreement by delivering a written termination notice to the Executive. Notwithstanding the foregoing, Executive shall continue to receive his full salary and benefits under this Agreement for a period of twelve (12) months after the effective date of such termination.

Notwithstanding the foregoing, Executive shall continue to receive his full salary Base Salary and benefits under this Agreement for a period of twelve (12) six months after the effective date of such termination.

Notwithstanding the foregoing, Executive shall continue to receive his full salary Base Salary and benefits to which he is entitled under this Agreement for a period of twelve six (126) months after the effective date of such termination.

Notwithstanding the foregoing, Executive shall continue to receive his full salary and benefits under this Agreement for a period of twelve (12) months after the effective date of such termination.
