Termination Effectiveness. Except for Section 6, this Agreement shall terminate as to any Holder, when all Registrable Securities held by such Holder no longer constitute Registrable Securities.

This Agreement shall only be effective upon the Closing. In the event the Merger Agreement is terminated in accordance with its terms, this Agreement shall terminate automatically (without any action by any Party).
