Termination by the Company Without Cause or by the Executive with Good Reason. If the Executive’s employment is terminated by the Company without Cause, or the Executive terminates the Executive’s employment for Good Reason, then in addition to the Accrued Obligations, and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims in favor of the Company and related persons and entities, confidentiality, return of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenants, in a form and manner satisfactory to the Company (the “Release Agreement”) and the Release Agreement becoming irrevocable within the time period set forth in the Release Agreement, and in no event longer than 60 days after the Date of Termination:

In addition, and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims in favor of the Company and related persons and entities, confidentiality, return of property and mutual non-disparagement and a reaffirmation of the Executive’s existing restrictive covenantsdisparagement, in a form and manner satisfactory to the Company (the “Release AgreementSeparation Agreement and Release”) and the Separation Agreement and Release Agreement becoming irrevocable irrevocable, all within the time period set forth in the Release Agreement, and in no event longer than 60 days after the Date of Termination:

If During the Term, if the Executive’s 's employment is terminated by the Company without CauseCause as provided in Section 2(d), or the Executive terminates the Executive’s his employment for Good ReasonReason as provided in Section 2(e) and, in the case of clauses (i), (ii) and (iii) below, such termination is not a termination described in Section 4, then in addition to the Company shall pay the Executive his Accrued ObligationsBenefit. In addition, and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims and affirmation of restrictive covenants in favor of the Company and related persons and entities, confidentiality, return entities substantially in the form of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenants, in a form and manner satisfactory to the Company Exhibit A attached hereto (the “"Release Agreement”and Affirmation") and the Release Agreement and Affirmation becoming irrevocable and fully effective within the time period set forth in the Release Agreement, and in no event longer than 60 days after the Date of Termination:

If During the Term, if the Executive’s employment is terminated by the Company without CauseCause as provided in Section 4(d), or the Executive terminates the Executive’s his employment for Good ReasonReason as provided in Section 4(e), then in addition to the Company shall pay the Executive his Accrued ObligationsBenefit. In addition, and subject to the Executive signing a separation and release agreement containing, among other provisions, a general release of claims substantially in favor of the Company and related persons and entities, confidentiality, return of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenants, in a form and manner satisfactory to the Company attached hereto as Exhibit I (the “Separation Agreement and Release”), the Separation Agreement and Release Agreement”) and the Release Agreement becoming irrevocable irrevocable, all within the time period set forth in the Release Agreement, and in no event longer than 60 days after the Date of Termination, and the Executive not breaching any of his post-employment contractual obligations to the Company:

In addition, if Executive has been employed by the Company for a minimum of one-hundred and eighty (180) days and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims in favor of the Company and related persons and entities, confidentiality, return of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenantsdisparagement, in a form and manner satisfactory to the Company (the “Release AgreementSeparation Agreement and Release”) and the Separation Agreement and Release Agreement becoming irrevocable irrevocable, all within the time period set forth in the Release Agreement, and in no event longer than 60 days after the Date of Termination:

If the Executive’s employment is terminated by the Company without CauseCause as provided in Section 3(d), or the Executive terminates the Executive’s his employment for Good ReasonReason as provided in Section 3(e), then in addition to the Company shall pay the Executive his Accrued ObligationsBenefit. In addition, and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims in favor of the Company and related persons and entities, a seven (7) business day revocation period, a reaffirmation of the Executive’s obligations under Section 7 of this Agreement, and confidentiality, return of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenantsprovisions, in a form and manner satisfactory to the Company (the “Release AgreementSeparation Agreement and Release”) and the Separation Agreement and Release Agreement becoming irrevocable irrevocable, all within the time period set forth in required by the Separation Agreement and Release Agreement, and but in no event longer later than 60 days after the Date of Termination:

In addition, and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims and affirmation of restrictive covenants in favor of the Company and related persons and entities, confidentiality, return entities substantially in the form of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenants, in a form and manner satisfactory to the Company Exhibit A attached hereto (the “"Release Agreement”and Affirmation") and the Release Agreement and Affirmation becoming irrevocable and fully effective and, if applicable, the Executive resigning as a member of the Board, within the time period set forth in the Release Agreement, and in no event longer than 60 days after the Date of Termination:

In addition, and subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims substantially in favor of the Company and related persons and entities, confidentiality, return of property and non-disparagement and a reaffirmation of the Executive’s existing restrictive covenants, in a form and manner satisfactory to the Company attached hereto as Exhibit I (the “Release AgreementSeparation Agreement and Release”) and the Separation Agreement and Release Agreement becoming irrevocable irrevocable, all within the time period set forth in the Release Agreement, and in no event longer than 60 days after (i) the earlier of the Date of Termination:Termination or (ii) the Executive is provided with the Separation Agreement and Release (the “60-day Period”):
