Common use of Termination by the Company without Cause or by Participant for Good Reason Clause in Contracts

Termination by the Company without Cause or by Participant for Good Reason. If the Company terminates your employment without “Cause,” or you terminate your employment with the Company for “Good Reason,” each as defined in Exhibit A attached hereto and incorporated herein, you will be paid a prorated portion of your Target Performance-Based Cash Award determined in the same manner as described in Section 8(a) hereinabove based on your termination date.

Termination by the Company without Cause or by Participant for Good Reason. If the Company terminates your employment without “Cause,” or you terminate your employment with the Company for “Good Reason,” each as defined in Exhibit A attached hereto and incorporated herein, you will be paid vest in and receive a prorated portion of your Target Performance-Based Cash Award Shares determined in the same manner as described in Section 8(a5(b) hereinabove based on your termination date.
