This Agreement may be terminated by Expedia ---------------------- alone, by means of written notice to Company, if there has been a material breach by Company or any of the Principal Stockholders of any representation, warranty, covenant or agreement set forth in the Agreement or other ancillary agreements, which breach has not been cured within ten (10) business days following receipt by Company of notice of such breach.
