Common use of TERM, TERMINATION AND AMENDMENT Clause in Contracts

TERM, TERMINATION AND AMENDMENT. This Agreement shall become effective on the date first above written. The Agreement shall remain in effect for a period of one year from the effective date, and shall automatically continue in effect thereafter with respect to the Trust unless terminated at the end of such period or thereafter on sixty (60) days' prior written notice given by either party to the other party. Termination of this Agreement with respect to any given Fund shall in no way affect the continued validity of this Agreement with respect to any other Fund. Upon termination of this Agreement, the Trust shall pay to the Administrator such compensation and any reimbursable expenses as may be due under the terms hereof as of the date of such termination, including reasonable out-of-pocket expenses associated with such termination. This Agreement may be modified or amended from time to time by mutual written agreement of the parties hereto.
