Term; Survival. This Agreement is effective from the Effective Date hereof, and shall remain in effect until the earlier a termination of this Agreement or all the rights and obligations of the Parties parties hereto have been fully performed; however all representations made by Company and by Buyer shall survive the closing of this Agreement. If either party wishes to terminate the Agreement, they may do so by written communication, which must be approved by the other party and include the exchange of consideration or assets delivered at the time of Closing.
