Technology Transfer Program Clause Samples

The Technology Transfer Program clause establishes the framework for transferring technology, knowledge, or intellectual property from one party to another, typically within the context of a research or development agreement. This clause outlines the procedures, responsibilities, and conditions under which technology developed during a project will be shared, licensed, or otherwise made available to the other party. Technology Transfer Program. The parties shall use commercially reasonable good faith efforts to negotiate, prepare and finalize the terms and conditions of the Technology Transfer Program within sixty (60) days of the date hereof.
Technology Transfer Program. [***], the Parties will complete a Technology Transfer Program. The Technology Transfer Program shall consist of (i) the preparation and delivery of the AbSci Marketing Materials, (ii) the preparation and delivery of the AbSci Training Materials, and (iii) a scale-up test mutually agreed upon by the Parties (the “Scale-Up Test”). The Scale-Up Test shall meet the following requirements: (i) it will be designed to confirm that some aspect AbSci Technology can be performed at KBI at scales larger than those performed at AbSci; (ii) the nature and scope of any Scale-up Test (including the molecule and volume of the reactor) will be mutually agreed by the Parties and (iii) it shall be reasonably capable of being completed successfully in two (2) months from commencement of the Scale-Up Test. The Scale-Up Test will be agreed to by the Parties within [***] of the Effective date of the Agreement. If no such agreement is made within [***], AbSci shall specify, in its sole discretion, the Scale-Up Test, and KBI shall use Commercially Reasonable Efforts to conduct and complete with AbSci the Scale-Up Test so specified by AbSci. Technology Transfer Program. In the event that Ni▇▇▇▇▇▇ ▇ishes to qualify an Alternate Source, it shall so notify Elan in writing. Thereafter, the parties shall negotiate in good faith a technology transfer program (“Tech Transfer Program”) consistent with this Agreement. Elan may specify that its activities shall be carried out by Elan or another Affiliate. Such Tech Transfer Program shall have due regard to the commercial interests of Elan in relation to the manufacture of the Product and other products, and shall be such that the Program will be completed with due dispatch but without undue disruption to El▇▇’▇ other commercial activities.
