Technical Violations. The parties hereby agree that it is not the Franchising Authority’s intention to subject the Company to penalties, fines, forfeiture, or revocation of the Agreement for so-called “technical” breach(es) or violation(s) of the Agreement, where the violation was a good faith error that resulted in no or minimal negative impact on the Subscribers within the Franchise Area or where strict performance would result in practical difficulties and hardship to the Company which outweigh the benefit to be derived by the Franchising Authority or Subscribers.
Technical Violations. The Borrower has made certain expenditures on behalf of JCC Development, FPD and CPD, subsidiaries of JCC Holding. These expenditures were made in the process of producing the master plan of the overall development of the Casino (including the Second Floor, the CPD Mortgaged Property and the FPD Mortgaged Property) and represent allocations of expenses incurred on a consolidated basis to the appropriate consolidated subsidiaries. Technical Violations. The City agrees that it is not its intention to subject the Grantee to penalties, fines, forfeitures or revocation of the Franchise for so-called “technical” breach(es) or violation(s) of the Franchise, which shall include, but not be limited, to the following: 1. Instances where a breach of the Franchise by the Grantee was a good faith error that resulted in no or minimal negative impact on its Subscribers within the Franchise Area; or 2. Instances where there existed circumstances reasonably beyond the control of the Grantee and which precipitated a violation by the Grantee of the Franchise, or which were deemed to have prevented the Grantee from complying with a term or condition of the Franchise.
Technical Violations. The parties hereby agree that it is not the Franchising Authority’s intention to subject the Grantee to penalties, fines, forfeitures or revocation of the Franchise for so-called “technical” breach(es) or violation(s) of the Franchise or local cable ordinance, which shall include but are not limited to the following: 1. in instances or for matters where a violation or a breach by the Grantee of the Franchise or local cable ordinance was good faith error that resulted in no or minimal negative impact on the customers within the Service Area; or 2. where there existed circumstances reasonably beyond the control of the Grantee and which precipitated a violation by the Grantee of the Franchise or local cable ordinance, or which were deemed to have prevented the Grantee from complying with a term or condition of the Franchise or local cable ordinance.
