Common use of Technical Violations Clause in Contracts

Technical Violations. The parties hereby agree that it is not the Franchising Authority’s intention to subject the Company to penalties, fines, forfeiture, or revocation of the Agreement for so-called “technical” breach(es) or violation(s) of the Agreement, where the violation was a good faith error that resulted in no or minimal negative impact on the Subscribers within the Franchise Area or where strict performance would result in practical difficulties and hardship to the Company which outweigh the benefit to be derived by the Franchising Authority or Subscribers.
