Technical Representatives. The Seller shall provide on-Site technical advisors starting from the Delivery of the first Major Component of the first Unit onsite through the unloading and installation of the last Major Component of the last Unit at a minimum rate of 2 Units per week to a maximum rate of 6 Units per week unless otherwise indicated in the Purchase Order, to advise the Buyer with respect to the Buyer’s compliance with the Seller’s Installation Manual during such unloading and installation and support and coordinate all customer requirements during pre-construction through Final Acceptance of each Project, on a project-by-project basis. The Parties acknowledge and agree that the sole purpose of such on-Site advisors is to provide advice and guidance respecting the installation of the Units and to observe the same.
Technical Representatives. Each Party shall designate a suitably skilled technical representative, whose duties shall include, but not be limited to, (a) reporting on the progress of Product(s) being supplied and/or the Services being performed under the Work Orders, (b) discussing modifications of development activities and (c) providing reasonable, consultation and discussion with respect to regulatory compliance, quality assurance/quality control processes and procedures, and technology transfer, including but not limited to as needed to enable and assist PPD’s efforts to maintain and/or obtain Regulatory Approvals for Licensed Products. The technical representatives shall meet weekly by telephone, video conference or in person, unless otherwise agreed to in writing by the Parties. In-person meetings will alternate between sites designated by each Party. Each Party shall bear all expenses of its personnel arising from any in-person meetings. In addition, if Xxxxxxx or any Affiliate thereof determines that it may be unable to complete or provide a particular Deliverable by the applicable Deliverable Date, Xxxxxxx shall (x) notify PPD of the circumstances concerning such potential delay, (y) meet with PPD to discuss the effects of such delay on the Development of the Licensed Product, and (z) take actions to mitigate the adverse effects of such delay, subject to (i) PPD’s prior consent (not to be unreasonably withheld) and (ii) Section 2.01 with respect to any mitigating actions requiring a change to any Work Order.
Technical Representatives. The issuance of advice, approvals, or instructions by Xxxxx’s technical personnel or other representatives shall be deemed expressions of personal opinion only and shall not affect Buyer’s or Supplier’s rights and obligations hereunder. Supplier shall not make any changes or amendment to this PO except through Xxxxx’s purchasing department and pursuant to an amendment to this PO.
Technical Representatives. The individual authorized by a party to provide and/or receive the Original Material and Provider Information on its behalf is set out in Schedule “A’ unless another individual is subsequently designated by that party in a written notice to the other party.
Technical Representatives. The issuance of advice, approvals, or instructions by Xxxxx’s technical personnel or other representatives shall be deemed expressions of personal opinion only and shall not bind Buyer except where an amendment to the Agreement has been duly approved by Buyer in writing.
Technical Representatives. SPONSOR's technical representative shall be Xxx Xxxxxxxx or such other representative as SPONSOR may subsequently designate in writing. NOTRE DAME's Principal Investigator shall be Dr. Xxxxxxx Xxxxxx who shall be responsible for the direction and conduct of the Research.
Technical Representatives. Sponsor’s technical representative shall be Xx. Xxxxxxx Xxxxxx, who shall have reasonable access to the PI regarding the Research. Access to work carried on at Roswell’s facilities in the course of the Research shall be entirely under Roswell’s control, and Sponsor’s technical representatives shall be permitted to visit such facilities during reasonable times mutually agreeable to the parties.

Each party shall designate a suitably skilled technical representative, who shall be available for consultation and discussion with respect to regulatory compliance, QA/QC processes and procedures, manufacturing issues, and technology transfer, including but not limited to as needed to enable and assist (i) in enabling and qualifying additional sites/suppliers for the manufacture of Supplied API in accordance with all legal and regulatory requirements, as may be required pursuant to Section 10.1, or (ii) Cempra’s efforts to maintain and/or obtain Product Approvals for Products, including but not limited to such approvals as may be necessary for marketing and selling Products (1) in additional formulations or dosage strengths or (2) for additional indications.
Technical Representatives. 9.1 For the Term of this Agreement, each Party will appoint one employee to act as its technical representative with respect to coordinating the identification and/or discussions of the Program or Solicitation under this Agreement (“Technical Representative”).
