Common use of Technical Representatives Clause in Contracts

Technical Representatives. The Contracts Officer may designate, by written notification to Contractor, one or more Technical Representatives to provide technical direction to Contractor in the course of performing its obligations under this Contract. The Technical Representative has no authority to amend this Contract. Direction by the Technical Representative is only valid if it: (i) is consistent with the SOW, (ii) does not constitute a new assignment of work or material change to agreed performance obligations, and (iii) does not create any additional cost of contract performance beyond that contemplated for the agreed SOW. In the event that Contractor believes that any direction provided by the Technical Representative may constitute additional work or a change to the agreed Contract terms, Contractor shall promptly notify the Contracts Officer.
