Technical Materials. Party B shall keep confidential the drawings and technical documents provided by Party A, and shall not be allowed to disclose the same to any third party by any way. in addition, after competition of manufacturing all the products, Party B shall return all the drawings and technical documents to Party A.
Technical Materials. STERLING COMMERCE will periodically provide Company ------------------- with the data, diagrams and other technical materials (collectively, "Technical Materials") that STERLING COMMERCE deems appropriate for Company to facilitate, provide, install, maintain and support the EC Offerings within the Territory. STERLING COMMERCE may limit the number of copies of such technical materials that Company will be authorized to make, if any. Company will (i) consecutively number each such copy (ii) maintain a current logbook that records the number of copies that have been made and (iii) reproduce all confidentiality and proprietary notices on each such copy.
Technical Materials. “Technical Materials” means copies of all inventor notebooks (or relevant portions of them), files, data, information, results of testing, drawings, schematics, and all models and prototypes that are owned by the Seller and that are in the Seller’s possession on the date of this Agreement and that relate to the Patents.
Technical Materials. Subject to the terms and conditions of this Agreement, CESI hereby grants to Kawasaki a perpetual, fully paid-up, royalty-free, worldwide, irrevocable license to: (i) use, modify, create derivative works of, and reproduce the technical materials listed in Exhibit B (“New Technical Materials”), Technical Information associated with the Multi-Use Patents (the “Multi-Use Technical Information”), and the Technical Information and Xonon Control Algorithms (as such terms are defined in the TDTA) owned by CESI and previously delivered by CESI to Kawasaki pursuant to the TDTA (the New Technical Materials, Multi-Use Technical Information, and such Technical Information and Xonon Control Algorithms, collectively, “Licensed Technical Materials”) as reasonably necessary to design, develop, manufacture, have made, test, use, sell, offer to sell, import, export, distribute, market, promote, sublicense, create improvements, and commercially exploit SGT Catalytic Modules; (ii) distribute the Licensed Technical Materials to Kawasaki’s Affiliates, and sublicense to such Affiliates the rights granted in subsection (i) above; (iii) distribute the Licensed Technical Materials to contractors and consultants of Kawasaki and its Affiliates (collectively, “Kawasaki Contractors”), and sublicense to such contractors and consultants the rights granted in subsection (i) above solely on behalf of Kawasaki and its Affiliates; and (iv) distribute the Licensed Technical Materials to customers and potential customers of SGT Catalytic Modules and associated Small Gas Turbines (collectively, “Kawasaki Customers”) as Kawasaki reasonably deems appropriate in the Small Gas Turbine market, and sublicense to such customers and potential customers the right to use such Licensed Technical Materials in the offering for sale, sale, service and repair of SGT Catalytic Modules and associated Small Gas Turbines. CESI shall use commercially reasonable efforts to deliver the New Technical Materials to Kawasaki in both hardcopy and in electronic form.

(2) Within thirty (30) days after the date of end of Phase 3, Licensor, at its own cost and expense, shall furnish and make available to Licensee, as part of Technical Information, all technical materials that are necessary or desirable for conducting Business Activity of the Products, including the following: (a) Drawings and specifications of the Products; (b) ▇▇▇▇ of Parts and materials; (c) Production standards; (d) Drawings for assembly; (e) Deliverables; (3) Within thirty (30) days after the date of end of Phase 4, Licensor, at its own cost and expense, shall furnish and make available to Licensee, as part of Technical Information, all technical materials that are necessary or desirable for conducting Business Activity of the Products, including the following: (a) Drawings and specifications of the Products; (b) ▇▇▇▇ of Parts and materials; (c) Production standards; (d) Drawings for assembly; (e) Deliverables; (4) Technical Materials provided by Licensor shall be written in English, and the metric system shall be used for all dimension descriptions. (5) Notwithstanding the foregoing four paragraphs, Licensor, at its own cost and expense, shall furnish and make available to Licensee, completed versions of the technical materials in the foregoing four paragraphs, whenever Licensee requests Licensor to do so to a reasonable extent.
Technical Materials. NCHI will provide RDSI, at no additional charge, with the data, diagrams, and other technical materials that RDSI deems appropriate, necessary or helpful for RDSI to install, support and otherwise service the Software. RDSI may make as many copies as it deems necessary, provided that RDSI retains all confidentiality and proprietary notices on each copy.
