Tax Returns Required to be. Filed Prior to the Closing Date. Prior to the Closing Date the Company (i) shall prepare and file, or cause to be prepared and filed, all Tax Returns of the Company required to be filed on or prior to the Closing Date (after giving effect to any valid extensions), and (ii) shall pay or cause to be paid all Taxes shown or reported to be due and payable by the Company on such Tax Returns.
