Common use of Tangible Items Clause in Contracts

Tangible Items. All customer lists, files, records, -------------- documents, drawings, plans, specifications, manuals, books, forms, receipts, notes, reports, memoranda, studies, data, calculations, recordings, catalogues, compilations of information, correspondence and all copies, abstracts and summaries of the foregoing and all physical items related to and used exclusively in the Business, other than a merely personal item, whether of a public nature or not, and whether prepared by Seller or not, are and shall be the exclusive property of Buyer and shall not be removed from the premises of Buyer, without the prior written consent of Buyer. Buyer agrees to give Seller prior written notice of any proposed destruction of any of the above tangible items sufficient to allow Seller to make necessary copies of such items.
