Common use of Tail Clause in Contracts

Tail. The Company agrees that if at any time prior to the first anniversary of the final Closing Date, the Company, or any of its affiliates, shall enter into any transaction (including, without limitation, any merger, consolidation, acquisition, financing, joint venture or other arrangement) with any party directly introduced to the Company by the Representative during the Offering and the aforementioned time period, the Company shall pay the Representative a success fee, at the closing thereof, equal to 1% of the consideration or value receive by the Company and/or its stockholders.
