Common use of Tail Clause in Contracts

Tail. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (A)(1) and (A)(2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind (“Tail Financing”) to the extent that such Tail Financing is provided to the Company by investors whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the Term as set forth in Exhibit B attached hereto (as may be updated from time to time by the Company and ▇▇▇▇▇▇▇▇▇▇), or introduced, directly or indirectly, to the Company during Term; provided, however, that such Tail Financing is consummated during the period beginning on the date hereof and ending three months following the expiration of the Right of First Refusal period in Section (A)(4) above.

Tail. ▇W▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (A)(11) and (A)(22) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind equity or convertible debt securities that is not described on Exhibit A (“Tail Financing”) to the extent that such Tail Financing financing or capital is provided to the Company by investors whom ▇W▇▇▇▇▇▇▇▇▇ had contacted introduced to the Company during the Term as set forth in Exhibit B attached hereto (as may be updated from time to time connection with a public Offering or investors who have been brought over-the-wall by the Company and W▇▇▇▇▇▇▇▇▇▇)▇ in connection with a registered direct offering or private placement, or introduced, directly or indirectly, to the Company during Term; provided, however, that if such Tail Financing is consummated during at any time within the 12-month period beginning on the date hereof and ending three months following the expiration end of the Right of First Refusal period in Section (A)(4) aboveTerm.

Tail. ▇W▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (A)(11) and (A)(22) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind (“Tail Financing”) to the extent that such Tail Financing is provided to the Company directly or indirectly by investors whom ▇W▇▇▇▇▇▇▇▇▇ (i) had brought over-the-wall during the Term, with respect to an Offering other than a public Offering, or (ii) had contacted during the Term as set forth Term, with respect to a public Offering, in Exhibit B attached hereto (as may be updated from time to time by the Company and ▇▇▇▇▇▇▇▇▇▇), or introduced, directly or indirectly, to the Company during Term; provided, however, that each case if such Tail Financing is consummated during at any time within the 12-month period beginning on the date hereof and ending three months following the expiration or termination of the Right of First Refusal period in Section (A)(4) abovethis Agreement.
