Common use of Tail Fee Clause in Contracts

Tail Fee. ▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("Tail Financing" ) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 9-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during the TennTerm, or introduced, introduced directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 9-9 month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, to the Company during the Termany Exclusive Investors, if such Tail Financing is consummated at any time within the 96-month period following the expiration or termination of this Agreement. Following termination, ▇▇▇▇▇▇ shall provide a list of investors subject to payment hereunder.

Tail Fee. W▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom W▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 96-month period following the expiration or termination of this Agreement.

W▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom W▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement.

Tail Fee. ▇R▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind Securities ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by up to seven investors whom ▇R▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, introduced to the Company during the Term, which investors will be listed on Annex B at Closing, if such Tail Financing is consummated at any time within the 9-month three (3)-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("Tail Financing" ") to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during the Tenn, has arranged either a call or introduced, directly or indirectly, to meeting with the Company or invested in a Offering during the Term, if such Tail Financing is consummated at any time within the 96-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, Term or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 96-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇ shall be entitled to compensation under clauses clause (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during the TennTerm, or introduced, directly or indirectly, to the Company during the TermTerm , if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement. ▇▇▇▇▇▇ shall not be entitled to a tail fee pursuant to this Paragraph A.3. for any funds raised in a Tail Financing directly from DSM, Casdin and the Company’s executive officers and directors.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation described under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement.

Tail Fee. W▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom W▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectlyindirectly (other than the Company Investors), to the Company during in connection with the Termengagement hereunder, if such Tail Financing is consummated at any time within the 9-month period following the expiration or termination of this Agreementuntil January 31, 2018.

Tail Fee. ▇R▇▇▇▇▇ shall be entitled to compensation under clauses clause (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that of the proportion of such financing or capital that is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted who invested in an Offering that was consummated during the Tenn, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 9-6 month period following the expiration or termination consummation of this Agreementsuch Offering.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the TennTerm, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 93-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("Tail Financing" ") to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, or introduced, directly or indirectly, to the Company during prior to the Termtermination of this Agreement, if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("Tail Financing" ") to the extent that such financing or capital is provided to the Company by investors in the Offering whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, or introduced, introduced directly or indirectly, indirectly to the Company during the Term, if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇▇▇▇▇ had contacted during the Tenn, Term or introduced, directly or indirectly, introduced to the Company during the Term, if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind common stock and common stock equivalents ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during who participated in the Tenn, Offering (other than the Sabby or introduced, directly or indirectly, to the Company during the TermBroadfin funds), if such Tail Financing is consummated at any time within the 9-month period following the expiration or termination of this Agreement.

Tail Fee. ▇▇▇▇▇▇ shall be entitled to compensation under clauses (1) and (2) hereunder, calculated in the manner set forth therein, with respect to any public or private offering or other financing or capital-raising transaction of any kind ("“Tail Financing" ”) to the extent that such financing or capital is provided to the Company by investors whom ▇▇▇▇▇▇ had contacted during the TennTerm, or introduced, directly or indirectly, to the Company during the Term, if such Tail Financing is consummated at any time within the 912-month period following the expiration or termination of this Agreement.
