Common use of SURVIVAL OF REPRESENTATIONS AND WARRANTIES; ENTIRE AGREEMENT Clause in Contracts

SURVIVAL OF REPRESENTATIONS AND WARRANTIES; ENTIRE AGREEMENT. All representations and warranties contained herein or made in writing by or on behalf of the Company in connection herewith shall survive the execution and delivery of this Agreement and the Notes, the transfer by you of any Note or portion thereof or interest therein and the payment of any Note, and may be relied upon by any Transferee, regardless of any investigation made at any time by or on behalf of you or any Transferee. Subject to the preceding sentence, this Agreement and the Notes embody the entire agreement and understanding between you and the Company and supersede all prior agreements and understandings relating to the subject matter hereof.

SURVIVAL OF REPRESENTATIONS AND WARRANTIES; ENTIRE AGREEMENT. All representations and warranties contained herein or made in writing by or on behalf of the Company in connection herewith shall survive the execution and delivery of this Agreement and the Notes, the purchase or transfer by you any Purchaser of any Note or portion thereof or interest therein and the payment of any Note, and may be relied upon by any Transfereesubsequent holder of a Note, regardless of any investigation made at any time by or on behalf of you such Purchaser or any Transfereeother holder of a Note. Subject to This Agreement, the preceding sentence, this Agreement Notes and the Notes Pledge Agreement embody the entire agreement and understanding between you each Purchaser and the Company and supersede all prior agreements and understandings relating to the subject matter hereof.

Subject to the preceding sentence, this Agreement and the Notes embody the entire agreement and understanding between you the Purchasers and the Company Obligors and supersede all prior agreements and understandings relating to the subject matter hereof.

Subject to the preceding sentence, this Agreement and the Notes embody the entire agreement and understanding between you and the Company and supersede all prior agreements and understandings relating to the subject matter hereof.

All representations and warranties contained herein or made in writing by or on behalf of the Company in connection herewith shall survive the execution and delivery of this Agreement and the NotesDebentures, the transfer by you of any Note Debenture or portion thereof or interest therein and the payment of any NoteDebenture, and may be relied upon by any Transfereesubsequent purchaser, regardless of any investigation made at any time by or on behalf of you or any Transfereesubsequent purchaser. Subject to the preceding sentence, this Agreement and the Notes Debentures embody the entire agreement and understanding between you and the Company and supersede all prior agreements and understandings relating to the subject matter hereof.

Subject to the preceding sentence, this Agreement and the Notes other Related Documents embody the entire agreement and understanding between you and the Company Industries and supersede all prior agreements and understandings relating to the subject matter hereof.
