Common use of Survival of Representations and Agreements Clause in Contracts

Survival of Representations and Agreements. All representations, warranties, covenants and agreements contained in this Agreement shall be deemed to be representations, warranties, covenants and agreements at the effective date of each Registration Statement contemplated by this Agreement, and such representations, warranties, covenants and agreements shall remain operative and in full force and effect regardless of any investigation made by or on behalf of the Company, any Holder, or any other Person and shall survive termination of this Agreement.

Survival of Representations and Agreements. All representations, warranties, covenants and agreements contained in this Agreement shall be deemed to be representations, warranties, covenants and agreements at the effective date of each Registration Statement contemplated by this Agreement, and such representations, warranties, covenants and agreements, including the indemnity and contribution agreements contained in Sections 4 and 5 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of the Company, any Holder, Shareholder or any other Person which is entitled to be indemnified under Section 4 hereof, and shall survive termination of this Agreement.
