Common use of Survival of Purchaser’s Representations and Warranties Clause in Contracts

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser set forth in Section 3.3 will survive the completion of the sale and purchase of the Purchased Shares herein provided for and will continue in full force and effect for the benefit of the Corporation for a period of three years from the Closing Date, unaffected by any investigation made by or on behalf of the Corporation in the course of the preparation of this Agreement.

Survival of Purchaser’s Representations and Warranties. The (a) Subject to Section 3.6(b), the representations and warranties of the Purchaser set forth in Section 3.3 3.4 will survive the completion of the sale and purchase of the Purchased Shares Assets herein provided for and and, notwithstanding such completion, will continue in full force and effect for the benefit of the Corporation for a period of three years from the Closing Date, unaffected by any investigation made by or on behalf of the Corporation in the course of the preparation of this Agreement.Vendors:
