Common use of Survival of Assignment Clause in Contracts

Survival of Assignment. That power of attorney shall survive an assignment by a Limited Partner of all or any portion of such Limited Partner's interest in the Partnership when an Assignee has been approved by the General Partner for admission to the Partnership as a Substituted Limited Partner, the special power of attorney shall survive such assignment for the sole purpose of enabling the General Partner to execute, acknowledge and file any instrument or document necessary to effect such substitution, as well as for the purposes set forth in Section 13.1 of this Agreement. 13.2.4
