Support After Termination Clause Samples
The 'Support After Termination' clause defines the obligations of one or both parties to provide assistance or services even after the main agreement has ended. Typically, this may include continued access to technical support, data migration help, or transitional services for a specified period following termination. Its core function is to ensure a smooth transition and minimize disruption for the party that may still rely on certain services or information after the contractual relationship concludes.
Support After Termination. Each Party agrees that following any termination of this Agreement it will take such actions as are reasonably necessary to maintain for each Customer that is a Customer of both AmEx and Portable the level of product and service integration that existed at termination.
Support After Termination. Section 14.7 of the Hardware Agreement is changed such that support shall be provided by Frontier for a Product until five (5) days after the last shipment of that Product by Cisco.
Support After Termination. No termination of this Agreement by expiration or otherwise shall affect any obligation accrued prior to such termination and such obligation shall be fulfilled in accordance with the applicable provisions herein. The provisions of this Agreement relating to warranty, repair, product liability, intellectual property, confidential information, indemnification, limitation of liability, shall survive termination or expiration of this Agreement. In the event of any termination or expiration of this Agreement, EMS and UTS agree to cooperate in good faith to minimize the negative impact of any such termination or expiration. In the event of any termination or expiration of this Agreement, EMS shall continue to provide maintenance support, after-sales repair service to UTS at EMS’ prevailing rates for services on similar products. The support shall be provided a minimum of two (2) years after termination or expiration. UTS will take back consigned test equipment once termination of this agreement, if the above maintenance support is necessary, test equipment will be consigned to EMS. UTS shall bear the expense of such transportation and related set up cost.
Support After Termination. Provided that (i) the applicable Software Maintenance Fees and Software License Fees are being paid in accordance with the Agreements, (ii) the total number of End Users is at least 10,000 and (iii) such End Users continue to upgrade to the most recent version of the Software (if so requested by Vendor), Vendor shall continue to provide the Services to Konica Minolta for a period of up to five (5) years after the date of termination or until the expiration or termination of all agreements between Customers and Konica Minolta active at the time of termination of the Reseller Agreement, whichever is longer.
