The "Sunrise" clause establishes a specific period or set of conditions under which certain rights, actions, or obligations become effective before the main terms of an agreement are fully implemented. In practice, this clause might allow one party to begin preparations, access information, or take preliminary steps ahead of the official start date of a contract. Its core function is to facilitate a smooth transition and ensure readiness by granting early access or action, thereby minimizing delays and potential disruptions once the agreement is fully in force.

Sunrise. The Disclosure Letter sets forth a correct and complete list of all Sunrise Contacts and all properties which Sunrise REIT has as of the date hereof a right or has exercised a right to acquire in whole or in part, in each case pursuant to a right a first offer under any Sunrise Contract (together with the acquisition price thereof and the expiration date of the applicable right of first offer). As of the date hereof, there is no property which is now or has been in the past deemed an “Underperforming Asset” in accordance with the terms of the relevant management Contract.
Sunrise. Sunrise is created to protect trademark holders, pre-existing exact match domain holders, and to avoid abusive registrations. During the Sunrise period, the registry system may accept different types of Sunrise applications. Either all or a portion of the Sunrise periods are reserved for members of the Trademark Clearinghouse provided by ICANN. Please see the applicable Registry's website for that Registry's rules that apply to the Sunrise period. You acknowledge that Registry or its designee shall decide at its own discretion whether any documentation or information you submit verifies your right to register a desired domain name. Most, if not all, gTLDs Sunrise applications must possess a registered trademark that meets certain criteria, and must attest to their membership in the Trademark Clearinghouse by providing a Signed Mark Data File (“SMD”) for each mark. Most, if not all, gTLDs Sunrise registrations may not be awarded until (i) the prospective registrant has provided the SMD file completed any applicable membership or community requirements and his or her contact information has been confirmed; and (ii) completed and duly executed any supporting documentation that may be required for the Sunrise phase required by the applicable Registry Operator. Most, if not all, gTLDs domain names awarded during Sunrise may not be operable (resolve in the DNS) and available for your use until the "create-date" chosen by the applicable Registry.

(i) will be relying on information and data provided by the Company and available from generally recognized public sources, without having independently verified the accuracy or completeness of the same, (ii) does not assume responsibility for the accuracy or completeness of any such information and data, (iii) will not make an appraisal of any assets or liabilities of the Company, and (iv) retains the right to perform due diligence on the Company during the course of this engagement.
Sunrise. During Sunrise, Registrars sponsoring Applicants with one or more SMD Files have exclusive access to submit Applications for Registrations in yearly increments from one (1) to ten (10) years. If more than one Applicant submits a Sunrise Application for the identical Domain Name, the prevailing Registrant will be determined by an auction process, described at the Registry Website.
