Common use of Subsidiary Change in Control Clause in Contracts

Subsidiary Change in Control. Notwithstanding Section 1.23(c)(i) hereof, in the case of a Subsidiary Change in Control, Good Reason shall exist if Xx. Xxxxxxx’x work location under the terms of the offer of employment from the acquiring employer is more than fifty (50) miles from Xx. Xxxxxxx’x work location at the Company as of the date the offer of employment by the acquiring employer is received.
