Common use of Subscription Amount Clause in Contracts

Subscription Amount. At each of the Closings, the Investor shall pay to the Corporation an amount equal to ninety-five percent (95%) of the principal amount of the Debentures purchased at such Closing (each, a Subscription Amount), net of, with respect to the First Closing and the Second Closing only, the applicable portion of the Commitment Fee (subject to Section 2.4 below) and, with respect to each Closing, the Transaction Expenses (subject to Section 2.5 below), by way of wire transfer of immediately available funds against delivery by the Corporation of definitive certificates representing the Debentures and the applicable Warrants.
