SUBDELEGATION. Health Plans retain the right to approve arrangements for any utilization management activities sub-delegated by CompCare or any of its delegates. CompCare shall obtain Health Plans approval prior to sub-delegation of any activities initiated during the term of this Agreement, and shall report any change in approved sub delegation arrangements to Health Plans at least thirty (30) days in advance of such change. Sub-delegates shall be subject to all Applicable Laws and the policies and procedures of the Health Plans. Any approval by Health Plans required hereunder shall not be unreasonably withheld.

As provided for under the Agreement and as set forth herein, subdelegation requires the prior written approval of CHPW. Manager of Delegation will receive and review monthly reports for performance review. SUBDELEGATION. The Firm shall not subcontract to any third party (“the Specialist”) any portion of the Deliverables that must be provided under this Agreement without the Fund’s prior written consent. The Fund shall not be under any obligation to consent to a request by the Firm to subcontract to any third party any portion of the Deliverables that must be provided under this Agreement. The Fund shall, when giving consideration to a written request for consent contemplated in clause 12.1 above, conduct a due diligence on the Specialist. Further to the provisions of clause 12.3 above, and to assist the Fund in conducting its due diligence as envisaged, the Firm shall provide with the written request, and the Fund shall take into consideration, the following aspects pertaining to the Specialist: An original B-BBEE Status Level Verification Certificate in respect of the Specialist, issued by an accredited verification agency, alternatively a certificate issued by the accounting officer (in respect of a close corporation), the registered auditor (in respect of a company) or accredited verification agency, that the Specialist is an Exempted Micro Enterprise or a Qualifying Small Enterprise; An original Declaration of Interest completed and signed by the Specialist; and An original valid Tax Clearance Certificate in respect of the Specialist. The Fund may, if the Fund elects to approve a request contemplated in clause 12.1 above, make such consent subject to such terms and conditions as the Fund in its sole election consider reasonable. Notwithstanding that the Fund may elect to consent to a request contemplated in clause 12.1 above, such consent by the Fund shall not relieve the Firm of any of the Firm’s obligations under this Agreement and the Firm shall remain responsible for the actions and omissions of the Specialist.
