StratCap Carve-Out. Anything to the contrary in this Agreement notwithstanding, if the StratCap Waiver has not been obtained by the date on which the Closing would otherwise occur, the purchase of the Equity Securities of ANST and RCS shall occur and Apollo shall not acquire the Equity Securities of StratCap (unless it chooses to waive the nonreceipt of the StratCap Waiver).
