Common use of Station Assets Clause in Contracts

Station Assets. Pursuant to the terms and subject to the conditions of this Agreement, at the Closing, Seller shall sell, assign, transfer and convey to Buyer, and Buyer shall purchase from Seller, all of Seller’s right, title and interest in, to and under all of the assets, properties, interests and rights of Seller of whatsoever kind and nature, real and personal, tangible and intangible, which are used or held for use in the operation of the Stations, but excluding the Excluded Assets as hereinafter defined. Except as provided in Section 1.2, the Station Assets include the following:

Pursuant to On the terms and subject to the conditions of set forth in this Agreement, at the ClosingClosing (as defined in Section 1.9), Seller shall sell, assign, transfer transfer, convey and convey deliver to Buyer, and Buyer shall purchase and acquire from Seller, all of Seller’s right, title and interest in, of Seller in and to and under the Station Assets. “Station Assets” means all of the assets, properties, interests rights and rights of Seller of whatsoever kind and nature, real and personal, tangible and intangible, which are properties used or held for use exclusively in the ownership and operation of the Stations, but excluding including each of the Excluded Assets as hereinafter defined. Except as provided following assets and properties of Seller, other than any such asset or property that is described in Section 1.2, the Station Assets include the following:
