Stanplan. Subject to the consent of the insurer (Standard Life) and the Inland Revenue, Buyer or an Affiliate of Buyer shall become a participating employer in the Stanplan on the same terms as the UK Subsidiary in respect of the UK Employees who are members of the Stanplan as at Closing with effect from Closing.
