Common use of Standstill Agreements; Confidentiality Agreements Clause in Contracts

Standstill Agreements; Confidentiality Agreements. During the period from the date of this Agreement through the Effective Time of the Holding Company Merger, neither Horizon nor City Holding shall terminate, amend, modify or waive any provision of any confidentiality or standstill agreement to which it or any of its respective subsidiaries is a party. During such period, Horizon or City Holding, as the case may be, shall enforce, to the fullest extent permitted under applicable law, the provisions of any such agreement, including by obtaining injunctions to prevent any breaches of such agreements and to enforce specifically the terms and provisions thereof in any court having jurisdiction.
