Standoff or Lock-Up Agreement. Each Holder of Registerable Securities agrees in connection with any firmly underwritten public offering of the Company's common stock that, upon request of the Company or the underwriters managing any underwritten offering of the Company's securities, such Holder shall not sell, make any short sale of, loan, grant any option for the purchase of, or otherwise dispose of any Registerable Securities (other than those included in the registration) without the prior written consent of the Company or such underwriters, as the case may be, during the 14 days prior to, and during the 120-day period beginning on, the effective date of the registration statement relating to such offering (except as part of such registration statement). In order to enforce the foregoing covenant, the Company may impose stop-transfer instructions with respect to the Registerable Securities until the end of such period.

Xxxxx, Xxhn X. Xxxxxxxxxx, Xxnnxxx X. Xxxxxxx xx John X. Xxxxxxx xxxe entered into a lock-up agreement with such underwriters relating to such offering with a lock-up period longer than one day and shorter than 90 days, then such shorter period shall be the Lock-up Period. The Company shall not be required to keep any registration statement effective during any Lock-up Period.

The foregoing provisions of this Section 5 shall not apply to the sale of any shares to an underwriter pursuant to an underwriting agreement, and shall only be applicable to the Key Holders if all officers, directors and holders of more than one percent (1%) of the outstanding Common Stock (after giving effect to the conversion into Common Stock of all outstanding Preferred Stock) enter into similar agreements. The underwriters in connection with the IPO are intended third-party beneficiaries of this Section 5 and shall have the right, power and authority to enforce the provisions hereof as though they were a party hereto. Each Key Holder further agrees to execute such agreements as may be reasonably requested by the underwriters in the IPO that are consistent with this Section 5 or that are necessary to give further effect thereto.
