Standby Letter of Credit Request Procedure. Whenever the Borrower desires that a Standby Letter of Credit be issued on its behalf, the Borrower shall give the Issuing Lender (with copies to be sent to the Agent and each other Lender) at least five (5) Business Days' prior written notice therefor. The execution and delivery of each request for a Standby Letter of Credit shall be deemed to be a representation and warranty by the Borrower that such Standby Letter of Credit may be issued in accordance with, and will not violate the requirements of, this Section 2.3. Unless the Issuing Lender has received notice from the Agent or any Lender before it issues the respective Standby Letter of Credit that one or more of the conditions specified in Section 4.2 are not then satisfied, or that the issuance of such Standby Letter of Credit would violate this Section 2.3, then the Issuing Lender may issue the requested Standby Letter of Credit for the account of the Borrower in accordance with the terms of this Agreement and, with respect to any matters not specifically covered by this Agreement, in accordance with the Issuing Lender's usual and customary practices as in effect from time to time.

Standby Letter of Credit Request Procedure. (5Eastern time) on the third Business Days' Day prior written notice therefor. The execution and delivery to the date of each request for the requested issuance or extension (or such shorter period as may be agreed to by the Issuing Lender), specifying (i) that a Standby Letter of Credit shall be deemed to be a representation is requested, (ii) the date of the requested issuance or extension, (iii) the type, amount, expiry date and warranty by terms on which the Borrower that such Standby Letter of Credit may is to be issued in accordance withor extended, and will not violate (iv) the requirements of, this Section 2.3beneficiary.
