SPV'S COSTS. In consideration of SPY entering into this agreement and the Supplemental Agreement, the Company agrees to indemnify and hold SPV harmless from and against all costs and expenses incurred by SPV: (a) in connection with its incorporation; (b) in connection with the administration of SPV's affairs relating to this agreement, the Supplemental Agreement and its Shares; (c) comprising fees and costs of the director of SPV from time to time;
