SPP Indemnification Sample Clauses

SPP Indemnification. SPP will indemnify, release, defend, reimburse and hold harmless ▇▇▇▇ Participant and its directors, officers, employees, principals, representatives and agents (collectively, the “▇▇▇▇ Participant Indemnified Parties”) from and against any and all Indemnifiable Losses asserted against or incurred by any of the ▇▇▇▇ Participant Indemnified Parties arising out of, resulting from or based upon the gross negligence or willful misconduct of an SPP Indemnified Party.
